April/May Newsletter - Climate Risk Disclosure is emerging as key issue for policymakers

Dear TSBR Follower,

The recently released comprehensive SEC proposal on climate risk disclosure covers a wide range of  factors including board oversight. We have added a link to the 3-page summary below. The SEC has asked for comments from the public until the 20th of May. TSBR will provide comments on board oversight and recommend more standardised disclosure of board members' experience and competence in ESG governance, as well as highlight the importance of the board exercising structured supervision. That is, organisational alignment with the executive committee and key knowledge owners in the wider business.

In our latest podcast episode of 'Leadership Conversations' we speak to board advisor, chair and author Patrick Dunne about the recent history and notable changes of boards in general. We also talk about his book 'Boards', a useful guide for everyone who wants to understand the dynamics of corporate governance better.

Enhancement and Standardisation of Climate-Related Disclosures

The Securities and Exchange Commission proposed rule amendments that would require a domestic or foreign registrant to include certain climate-related information in its registration statements and periodic reports.

TSBR will be submitting comments on the proposal to outline the importance of board oversight.

    SEC Proposes Climate Disclosure Regime

The long-expected but controversial proposal, and why it would require disclosure of climate-related risks, greenhouse gas emissions and climate-related financial metrics. If adopted, the proposal would represent the most far-reaching public company disclosure and governance mandate to be introduced in decades.

What Jamie Dimon's letter says about Wall Street and climate risk

Two influential papers grabbed headlines this week. The first was, unsurprisingly, the latest installment of the Intergovernmental Panel on Climate Change’s (IPCC) sixth assessment report. The second was JP Morgan chief executive Jamie Dimon’s annual letter to shareholders.

The JP Morgan chief's annual missive sheds light on bank attitudes to transition risk, the low-carbon transition, and financial regulation.
